Terms of Service

These terms are the agreement between you (the company that signs up for Vali, and the people it lets use it) and Teacup Technology cc, the South African company that builds and runs Vali. By starting a trial, subscribing or using Vali you accept them.

The service

Vali is business software delivered over the internet. Vali Business covers accounting, manufacturing, stock and purchasing, email and meetings, email campaigns, client projects and a policy wiki. Vali Learning, a learning management system, is a separate product. Your company gets its own web address, such as yourcompany.vali.co.za, and its own separate space on our servers.

Your account

• Whoever signs up must be authorised to act for the company.
• You are responsible for the people you add, for keeping passwords private and for what is done under your logins. Tell us at once if you think a login has been misused.
• Bookkeeping practices must give a valid professional membership number; partner pricing only starts once we have checked it.

Free trial

New companies get a free trial with everything switched on and no card needed. When the trial ends you choose a plan and carry on. If you do not, your company is locked, not deleted, so nothing is lost if you come back. We remove locked companies after 90 days.

Subscriptions and billing

• Plans and prices are shown on our Pricing page in South African rand, excluding VAT. VAT is added to the price shown.
• A subscription covers one company. Each further company is its own subscription.
• New modules and improvements added to Vali Business are included in your subscription at no extra cost.
• Subscriptions are billed monthly in advance through PayFast, by card or EFT.
• We may change prices with at least 30 days' notice by email. Companies already subscribed keep their price until the notice takes effect.
• If a payment fails we will tell you and give you a reasonable time to fix it before access is suspended.

Fair use of email and campaigns

Vali Business includes mailboxes, email storage and email campaigns for normal business use. If a company's mailboxes, stored mail or campaign sending is far above what similar businesses use, we will contact you first to agree a way forward, which may be a limit or a separate price. We never limit ordinary day-to-day email without talking to you.

Document and file storage

Vali Business includes 100 GB of document and file storage per company, such as drawings, photos and attachments. If a company needs more, we quote the extra storage on request.

Cancelling

You may cancel at any time from your account or by emailing help@vali.co.za. Access continues to the end of the period you have paid for; we do not refund part-months. You can export your lists to CSV before you go, and we delete or anonymise your data after the retention period in our Privacy Policy.

Your data

• Everything you capture in Vali stays yours. We hold it for you and keep it separate from every other business.
• You must have the right to put into Vali the information you put there, including your customers' and staff's personal information, and you are responsible for using it lawfully under POPIA.
• We back up your data regularly. If something goes wrong on our side we restore from the latest backup, but you remain responsible for checking your own records, especially your books.
• We process personal information as set out in our Privacy Policy and POPIA notice.

Acceptable use

Use Vali lawfully. Do not try to break in, disrupt the service, reach another company's data, resell access, or use it to send spam or unlawful content. We may suspend an account that does.

AI features

Some features use an AI provider account that you connect yourself, such as OpenAI or Claude. What you send to that provider is governed by your agreement with them, and you pay them directly. AI output is a draft for you to check, not advice.

Availability and support

We aim to keep Vali available around the clock and tell you in advance of planned maintenance where we can, but we cannot promise it will never be interrupted. Support is by email at help@vali.co.za and from the Help and Feedback button inside Vali, during South African business hours.

Changes to Vali

Vali is improved continually. We may add, change or retire features; where a change removes something you rely on we will tell you in advance.

Our responsibility

Vali is provided as it is. We take reasonable care, but we are not accountants, lawyers or tax advisers, and figures Vali produces are only as good as what is captured. To the extent the law allows, our total liability to you for anything arising from Vali in any 12-month period is limited to the subscription fees you paid us in that period, and we are not liable for loss of profit, business or data. Nothing here removes rights you have under the Consumer Protection Act where it applies.

Ending the agreement

Either side may end it: you by cancelling, us with 30 days' notice, or at once if the other side breaks these terms and does not put it right within 14 days of being told.

Law and disputes

These terms are governed by the law of the Republic of South Africa. If we cannot settle a dispute by talking, the courts of South Africa have jurisdiction.
